If you are using something like Audition, you can remove most of that noise pretty successfully, especially if it is mainly hiss and/or hum. The "psychoacoustic" noise reduction in these tools (which is based on the same DSP/FFT techniques as mp3) can do a very good job if used carefully. However, don't try to reduce the noise anymore than 12 to 18 db with these tools or you will get audible artifacts (that you may not hear at first). In Audition, two of these tools are called "Noise Reduction" and "Hiss reduction", and they both use a "snapshot" of the noise to determine the noise floor of each of many, many frequency bands. The noise is then selectively removed in each band instant by instant and then the whole thing is put back together. Really, it actually works, mp3, Dolby surround (AC3), AAC (iPod), are all based on similar "psychoacoustic" processing of sound signals, but this noise reduction actually does less damage to the sound that any of these other data compression techniques.
